I. Sustainability Governance Structure

Since its establishment, Bonraybio has placed equal emphasis on corporate governance, operational performance, environmental sustainability, and social responsibility. In 2023, the Board of Directors approved the Sustainability Development Best Practice Principles and the Risk Management Best Practice Principles. In 2024, the Board further adopted the Sustainability Information Management Policy, demonstrating the Company's commitment to sustainable development and the implementation of corporate social responsibility initiatives, with the goal of contributing to a better society.

The Chairman and President serve as the highest authority responsible for sustainability-related matters. Overall planning, coordination, and implementation are delegated to the Vice President of the Finance and Administration Division and the supporting team.

Based on the principle of operational materiality, sustainability responsibilities are integrated with the functions of each department. Department heads serve as the responsible executives for their respective areas, establish objectives for each material topic, lead implementation efforts, and promote cross-functional collaboration. The Company conducts annual reviews of implementation progress, evaluates performance, and identifies areas for improvement. The results of sustainability initiatives and future action plans are reported to the Board of Directors at least once each year.


II. Sustainability Strategy and Implementation

Guided by its corporate vision, "Your Health, Our Focus," Bonraybio has established five strategic pillars for sustainable development: Innovation in R&D, Integrity and Corporate Governance, Employee Well-being, Social Responsibility, and Environmental Sustainability. Through these five pillars, the Company develops and implements its sustainability strategy while integrating environmental, social, and governance (ESG) considerations into its corporate governance, social engagement, and environmental performance management.

(1) Innovation in R&D

The Company focuses its research and development on providing comprehensive solutions for male infertility. Guided by its product quality policy of "Pursuing Excellence, Continuous Improvement, Quality Assurance, and Customer Satisfaction," the Company strives to strengthen its brand competitiveness and deepen its commitment to serving customers worldwide.

Corresponding UN Sustainable Development Goals (SDGs): SDG 3 – Good Health and Well-being and SDG 9 – Industry, Innovation and Infrastructure.

 

During 2022 and 2023, Bonraybio's comprehensive solutions for male infertility received three prestigious national awards: the Silver Medal of the National Invention and Creation Award, the Gold Award for International Advancement at the Taipei Biotech Awards, and the 20th National Innovation Award – Enterprise Innovation Award. In 2024, the Company was further honored with the Outstanding Biotechnology Industry Golden Award by the Taiwan Bio Industry Organization.

In 2025, the Company's X12 Pro successfully obtained clearance from the U.S. Food and Drug Administration (FDA), further demonstrating Bonraybio's outstanding achievements in research and development, global market expansion, and corporate management.


(2) Integrity and Corporate Governance

In today's rapidly changing business environment, building trust with stakeholders across all dimensions has become increasingly valuable. The Company firmly believes that integrity is the foundation of sustainable business success, reflecting the principle that "without trustworthiness, one cannot stand." Guided by this belief, the Company's management continues to strengthen its integrity-based governance framework to ensure lawful and compliant operations while fostering a culture of transparency, accountability, and responsible business conduct.

Corresponding UN Sustainable Development Goals (SDGs): SDG 8 – Decent Work and Economic Growth, SDG 9 – Industry, Innovation and Infrastructure, and SDG 16 – Peace, Justice and Strong Institutions.

    

The Company has established and implemented the following governance policies, all of which have been approved by the Board of Directors:

  • Code of Ethical Conduct

  • Integrity Management Policy

  • Procedures and Guidelines for Integrity Management

  • Corporate Governance Best Practice Principles

  • Insider Trading Prevention Policy

The Finance and Administration Division serves as the responsible strategy team, conducting periodic self-assessments of the Company's integrity management practices to evaluate implementation effectiveness and the degree of compliance. The results are regularly reported to the Board of Directors.

Report to the Board of Directors (March 3, 2026)

The following integrity management initiatives were reported to the Board of Directors on March 3, 2026:

  • All new hires and existing employees have been informed of, and have signed, the integrity management and ethical conduct provisions as part of their employment agreements.

  • An educational memorandum entitled "Integrity Management, Insider Trading Prevention, and Material Information Handling" was distributed to all employees and managers. The contents included:

    1. The importance of integrity management;

    2. The scope and legal elements of insider trading;

    3. Legal liabilities for violations; and

    4. Regulations governing the handling of material non-public information, together with practical examples.

  • An insider trading prevention reminder was distributed to all Directors.

  • No reports or complaints related to integrity management have been received to date.

  • Internal control self-assessments were completed by all departments, with no material deficiencies or irregularities identified.

(3) Employee Well-being

Bonraybio places great importance on talent development and fostering a positive workplace environment to support the Company's long-term sustainable growth. The Company is committed to providing a safe workplace, treating employees with dignity and respect, and operating with integrity and sustainability.

In compliance with the standards of the International Labour Organization (ILO), the Company ensures equal employment opportunities throughout the recruitment, selection, hiring, assignment, placement, performance evaluation, and promotion processes. Discrimination or unequal treatment based on race, social class, language, ideology, religion, political affiliation, place of origin, gender, sexual orientation, age, marital status, physical appearance, disability, or labor union affiliation is strictly prohibited. The Company also strictly prohibits the employment of child labor below the legal minimum working age. To ensure full compliance, all newly hired employees are required to provide valid identification for verification, and all recruitment activities are conducted in accordance with applicable laws and regulations.

Employee Development and Well-being Initiatives

Bonraybio provides a variety of programs to develop talent and create a healthy, safe, and rewarding workplace, including:

  1. Weekly employee training programs, including both mandatory departmental courses and a wide range of elective courses, enabling employees to quickly develop job competencies and continuously enhance their professional skills.

  2. Annual inspections of fire safety equipment and regular fire and emergency response drills to achieve the goal of zero injuries in emergency situations. Fire safety and emergency response drills were conducted on May 7 and November 21, 2025, and May 20, 2026.

  3. The establishment of the Policy for Prevention of Sexual Harassment, Complaint Handling, and Investigation Procedures, accompanied by regular awareness campaigns and workplace posters to prevent sexual harassment. No workplace sexual harassment cases have been reported to date.

  4. Engagement of licensed visually impaired massage therapists to provide massage services that promote employees' physical and mental well-being.

  5. Monthly e-mail campaigns promoting workplace well-being initiatives to foster a comfortable, healthy, safe, and supportive working environment.

  6. An annual Family Day event to strengthen employees' and their families' sense of belonging and identification with the Company.

  7. Employee clubs, including a Badminton Club and a Sustainability Club, encouraging employees to maintain a healthy lifestyle through sports and participation in sustainability-related activities.


(4) Social Responsibility

As a developer and manufacturer of biotechnology diagnostic instruments and medical consumables, Bonraybio is committed to leveraging its advanced scientific expertise to continuously develop innovative products that benefit society. The Company provides comprehensive solutions for male infertility (Male Infertility Total Solution) to support the global reproductive medicine industry and improve healthcare outcomes.

Corresponding UN Sustainable Development Goals (SDGs): SDG 3 – Good Health and Well-being, SDG 4 – Quality Education, SDG 6 – Clean Water and Sanitation, and SDG 11 – Sustainable Cities and Communities.

      

Community Engagement

In addition to its core business, the Company actively participates in charitable and community initiatives. Key activities undertaken in 2025 include:

  • Supporting sustainable tea farming through the adoption of an eco-friendly tea plantation producing aged mountain black tea in Sun Moon Lake, Nantou.

  • Supporting the "True Heart Grocery Store" charitable gift box program organized by the World Assistance Association. This initiative not only served as a holiday gifting program but also represented the Company's commitment to ESG values and sustainable social impact.

  • Donating supplies to the Yuanlin Parenting and Family Center to support local families and children.

  • Organizing volunteer environmental clean-up activities in scenic mountain areas, with employees collecting litter to help preserve the natural environment.


(5)Environmental Sustainability

Bonraybio's management annually evaluates climate-related risks, greenhouse gas (GHG) issues, and environmental sustainability management, while establishing objectives and allocating the necessary resources to achieve them. Progress toward these objectives is reviewed regularly each year, and improvement measures are proposed as needed. The evaluation results are ultimately reported to the Chairman to ensure that climate-related responses are fully integrated into the Group's overall risk management framework.

Environmental Sustainability Management

The Company's environmental sustainability management covers the following areas:

  1. Environmental risk assessment.

  2. Environmental monitoring and reporting.

  3. Environmental education and training.

Implementation of Environmental Sustainability Initiatives

The Company has implemented the following environmental sustainability measures:

  • Proactively conducted a greenhouse gas (GHG) inventory in accordance with the requirements of the Financial Supervisory Commission (FSC), with the results disclosed on the Company's website and in its Annual Report.

  • Engaged Tunghai University to provide guidance on greenhouse gas inventory management and assist the Company in establishing carbon reduction targets, demonstrating its commitment to environmental protection and climate action. 

  • Continued to enhance employees' environmental awareness through educational programs promoting green living and environmental sustainability.

  • Implemented energy-saving and carbon reduction measures, including energy-efficient office lighting, air-conditioning management, and the promotion of paperless operations.

  • Promoted resource recycling through waste segregation, recycling, and the reuse of packaging materials to reduce the consumption of single-use materials.

  • Supported local environmental sustainability by sponsoring an eco-friendly tea plantation in Sun Moon Lake, Nantou.

  • Reported climate change-related risks and corresponding response measures to the Board of Directors on February 24 and November 10, 2025, and March 3, 2026.
